Types of Registered Office Changes & Procedures
1. Within the Same City / Local Limits
⇒ Simply pass a board resolution
⇒ File Form INC-22 with ROC within 30 days
⇒ No need for ROC or Regional Director (RD) approval
2. From One City to Another (Same State & ROC)
⇒ Pass a board resolution and get shareholder approval
⇒ File Form INC-22 and Form MGT-14
3. From One State to Another State (Change of ROC Jurisdiction)
⇒ Requires special resolution, NOC from creditors, and approval from Regional Director (RD)
⇒ File Form MGT-14, Form INC-23 (RD application), and finally Form INC-22
