Changes in Registered office Address

The Registered Office is the official address of a company where all legal notices, communication from the Registrar of Companies (ROC), tax departments, and other authorities are sent.

If a company changes this address, it must legally update it with the ROC by filing the appropriate forms.

Types of Registered Office Changes & Procedures

1. Within the Same City / Local Limits
Simply pass a board resolution
File Form INC-22 with ROC within 30 days
No need for ROC or Regional Director (RD) approval

2. From One City to Another (Same State & ROC)
Pass a board resolution and get shareholder approval
File Form INC-22 and Form MGT-14

3. From One State to Another State (Change of ROC Jurisdiction)
Requires special resolution, NOC from creditors, and approval from Regional Director (RD)
File Form MGT-14, Form INC-23 (RD application), and finally Form INC-22

  • Utility bill of new address (not older than 2 months)
  • Rent agreement or ownership proof
