DIR-12
What is DIR-12?
DIR-12 is a form that a company must file with the Registrar of Companies (ROC) when there is any change in its board of directors or key managerial personnel (KMP).
It is used for:
⇒ Appointment of a director
⇒ Resignation of a director
⇒ Removal of a director
⇒ Change in designation (e.g., from Director to Managing Director)
Who Files DIR-12?
- It is filed by the company (not the director), through the MCA portal
- Must be digitally signed by an authorized signatory (Director, Manager, Secretary, etc.)
Information Required for Filing:
- Details of the director (DIN, name, address)
- Date and type of change (appointment/resignation/removal)
- Board/shareholder resolution approving the change
- Consent letter (for appointment – Form DIR-2)
- Resignation letter (in case of resignation)
- Digital Signature Certificate (DSC) of an authorized signatory
Information Required for Filing:
⇒ Ensures the MCA records are updated with the latest list of directors
⇒ Avoids penalties or future disputes regarding directorship
⇒ Required for corporate governance, legal clarity, and smooth compliance
Penalty for Late Filing:
⇒ Late filing attracts per-day penalties (₹100/day) with no upper limit
⇒ May result in non-compliance status for the company
Due Date:
Within 30 days from the date of appointment or resignation
